Terms of Use and Service of Picuco

These Terms of Use and Service (the "Terms") govern the access and use of the Picuco platform (the "Site" and/or the "Applications"), operated by PICUCO VENTURES SL, with Tax ID B24760001 and registered office at Calle Hermosilla 48, Piso 1, Puerta D, 28001 Madrid, registered in the Commercial Registry of Madrid, sheet M-865736 (hereinafter, "Picuco", "we" or the "Company"). PICUCO VENTURES SL operates as a wholesale-retail travel agency under Law 1/1999, of 12 March, on the Organisation of Tourism of the Community of Madrid, Decree 99/1996 and Royal Decree-Law 23/2018. The contracting parties under these Terms are PICUCO VENTURES SL (as agency) and the end customer. By using Picuco, you ("User" or "you") accept these Terms. If you do not agree, do not use the Site or the Applications.
1. Who we are
Picuco is a wholesale-retail travel agency and digital platform for discovering, designing and booking tourism activities, experiences and travel services. We connect people looking for activities and trips ("Customers") with professionals and businesses that offer them ("Providers"). Picuco may act both as organiser of its own package travel and linked travel arrangements and as retailer, intermediating the sale of tourism services from third-party providers.

2. Our Services
Picuco's services (the "Services") include:
- The Website and its subdomains.
- Mobile Applications (if any).
- The interfaces and communication tools to connect Users with Providers.
- Booking and payment processing for activities.
- Management of cancellations and refunds in accordance with each activity's policy.
3. Users
The following are considered Users:
- People who browse, search, or consult activities.
- People who request information or contact with Providers.
- Providers who publish or wish to publish their activities (also referred to as "Providers" when applicable).
Minimum age:
You must be 18 years old to use the Services. Minors between 14 and 17 years may use the platform with express authorization from a parent or legal guardian. Use by minors under 14 years is not permitted under any circumstances.
If the activity accepts underage participants, the adult making the booking assumes responsibility for them and declares they have the necessary authorisation.
4. Application of these Terms
These Terms are binding for any use of the Services. They apply when you use picuco.com to discover, book, or pay for activities. We may update the Terms at any time. The current version will be the one published on the Site with the update date. Continued use implies your acceptance.
5. Your use of the Services
Picuco grants you a personal, non-exclusive, non-transferable, and revocable right to access and use the Services for the purposes of:
- Exploring content and experiences.
- Sending information requests or contact requests to Providers.
- Booking and paying for activities through the platform.
The following, among others, is prohibited:
- Copying, modifying, decompiling, or creating derivative works of the Site/Apps.
- Using the Services for illegal, fraudulent purposes, or to harm third parties.
- Extracting data on a large scale (scraping) or circumventing technical security measures.
- Impersonating third parties or publishing illegal or infringing content.
6. Picuco's role
PICUCO VENTURES SL operates as a wholesale-retail travel agency and may act both as organiser of package travel and linked travel arrangements and as retailer, intermediating the sale of tourism services from third-party providers. Its activity is governed by Law 1/1999, of 12 March, on the Organisation of Tourism of the Community of Madrid, Decree 99/1996 and Royal Decree-Law 23/2018, of 21 December.
6.1 Picuco as organiser
When Picuco designs and sells its own package travel or linked travel arrangements, it acts as organiser within the meaning of Royal Decree-Law 23/2018. In that case, Picuco assumes the obligations of the organiser regarding pre-contractual information, proper performance of the package, assistance to the traveller and liability for non-performance, in accordance with Book IV of Royal Legislative Decree 1/2007 (TRLGDCU). In particular, Picuco shall be liable for the proper performance of all travel services included in the contract pursuant to article 161 TRLGDCU, without prejudice to its right of recourse against the providers effectively performing those services.
6.2 Picuco as retailer
When Picuco intermediates in the sale of loose tourism services or packages organised by third parties, it acts as retailer. In these cases, Picuco collects the activity price on behalf of the Provider; payment made through Picuco has a discharging effect for the Customer towards the Provider. The Provider is solely responsible for the information, legality, licences, insurance, safety and proper execution of the service, without prejudice to the retailer's liabilities under applicable regulations.
6.3 Insolvency guarantee
In accordance with Decree 151/2018, which amends Decree 99/1996 of the Community of Madrid, and Royal Decree-Law 23/2018, PICUCO VENTURES SL has a guarantee against insolvency to cover the refund of payments made and the repatriation of travellers in the event of the agency's insolvency.

6.4 Price and taxes
The price of each activity or travel service is set in accordance with these Terms and the pre-contractual information. It includes all applicable taxes (including VAT where applicable) and is the total amount paid by the Customer.
6 bis. Pre-contractual information on package travel and linked travel arrangements
When Picuco offers a package travel or linked travel arrangement within the meaning of Royal Decree-Law 23/2018, before the Customer is bound by the contract, Picuco will provide the standardised information and pre-contractual information required by articles 153 et seq. of Book IV of Royal Legislative Decree 1/2007 (TRLGDCU), including:
- Main characteristics of the travel services (destination, itinerary, transport, accommodation, meals, visits, excursions).
- Trade name and address of Picuco and, where applicable, of the retailer.
- Total price including taxes and fees, and payment conditions.
- Minimum number of participants required and the deadline for possible termination of the contract before departure.
- Information on passports, visas, health formalities and general conditions at destination.
- Information that the traveller may terminate the contract at any time before departure in exchange for an appropriate termination fee, and right of withdrawal where applicable.
- Information on the optional conclusion of a travel insurance covering cancellation costs or assistance at destination.
- Existence of the guarantee against insolvency identified in section 6.3.
For travel services that do not qualify as package travel or linked travel arrangements, the pre-contractual information applicable to the specific service will be provided prior to booking.
7. Fees and revenue model
Picuco generates revenue through:
- Commissions charged to Providers for each booking managed through the marketplace.
- Picuco Pro subscriptions for Providers (management tools).
Picuco does not charge the Customer any additional fee on top of the published price of the activity or travel service.
8. Registration and accounts
To book an activity, you will need to provide your contact details and make payment. It is not necessary to create a password-protected account. If personal accounts are enabled in the future, we will update these Terms.
9. Booking and payment process
When you book an activity through Picuco:
- You review the activity details: description, date, time, location, price, and cancellation policy.
- You provide your details and make payment. Picuco processes the payment either on behalf of the Provider (in the intermediation modality) or on its own behalf (when acting as organiser of package travel).
- You receive a confirmation with your booking details.
- The Provider delivers the activity.
By completing payment, you accept the activity's cancellation policy and these Terms and Conditions.
Payment is processed through Stripe, an authorised payment service provider. Available payment methods may vary by activity and include: credit or debit card (Visa, Mastercard), Apple Pay, Google Pay, Klarna, and bank transfer. You will see the available methods for your booking before paying. Picuco does not store your card details.
9.2 Nature of the activities and risk
Activities listed on Picuco may involve a level of physical risk inherent to their nature (hiking, climbing, water sports, etc.). By booking, you acknowledge that you are aware of the nature of the activity and that you participate at your own risk.
It is your responsibility to verify that you meet the physical, health, and experience requirements indicated in each activity's description. We recommend that you have accident insurance covering the activity you are going to do.
The Provider is solely responsible for safety during the activity, including compliance with applicable regulations, mandatory insurance, and the qualifications of their guides or instructors.
10. Content and rights
10.1 Site Content
The texts, images, designs, brand, logos, software, and other elements of the Site are the property of Picuco or third-party licensors and are protected by intellectual property. Their reproduction, distribution, or unauthorized use is not permitted.
10.2 User Content (including chat)
If you publish, send, or share content (for example, in the chat):
- You grant us a non-exclusive, free, worldwide license to host, reproduce, and display that content only to provide and improve the Services.
- You must guarantee that you have the rights to share it and that it does not infringe third-party rights or the law.
- Do not publish sensitive data or private information that you do not wish to share.
- We may moderate or remove content that violates these Terms.
11. Conduct and prohibited uses
The following is prohibited:
- Publishing illegal, defamatory, misleading, discriminatory, violent, explicit sexual content, or content that violates rights.
- Sharing third-party personal data without legal basis.
- Introducing malware, carrying out attacks, or interfering with the Site's operation.
- Using the Services to capture data or divert traffic to competing services.
Picuco may suspend access to anyone who violates these rules.
12. Additional services; coupons and vouchers
In the future, Picuco may offer promotions, coupons, or vouchers. Each promotion will be governed by specific terms that will be communicated at the time of launch. Picuco may modify or cancel them when reasonable.
13. External links
The Site may contain links to third-party websites. Picuco does not control these sites nor is responsible for their content or policies. Their use is governed by the terms and privacy of such third parties.
14. Warranty disclaimer
The Site and Services are provided "as is" and "as available". Picuco does not guarantee that the service will be uninterrupted or error-free, nor the accuracy, availability, or suitability of third-party activities. To the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, and non-infringement are excluded.
15. Limitation of liability
To the extent permitted by law, Picuco will not be liable for indirect, incidental, special, or consequential damages, nor for loss of profits, data, reputation, or business arising from the use of the Site or Provider activities.
Nothing above limits liability that cannot be excluded by law (for example, for fraud or personal injury caused by negligence).
In any event, Picuco's total liability to the Customer for any claim related to a booking shall not exceed the amount actually paid by the Customer for that booking.
This cap does not apply when Picuco acts as organiser of a package travel under section 6.1, in which case liability shall be governed by articles 161 et seq. of Royal Legislative Decree 1/2007.
16. Indemnity
You will indemnify Picuco against third-party claims arising from your misuse of the Services, your content, or breach of these Terms.
17. Intellectual property
"Picuco" and associated distinctive signs are trademarks of the Company. Except with express authorization, their use is prohibited. The reputation derived from authorized use will benefit its owner.
If you believe that any content published on Picuco infringes your intellectual or industrial property rights, you may notify us at ops@picuco.com indicating: (1) your identity and contact details, (2) identification of the content you consider infringing and its location on the website, (3) proof of your rights over the original content. We will evaluate the notification and act in accordance with applicable law.

19. Data protection and privacy
When you make a booking, we collect the data necessary to manage it (name, email, payment details). We share with the Provider the data necessary to deliver the activity (name, contact details, booking details). Picuco and the Provider are independent data controllers for the processing of that data.

20. Applicable law and jurisdiction
These Terms are governed by Spanish law, including in particular Royal Legislative Decree 1/2007 (TRLGDCU) on consumers and users, Royal Decree-Law 23/2018 on package travel and linked travel arrangements, Law 34/2002 (LSSI-CE), Law 1/1999 on the Organisation of Tourism of the Community of Madrid, and Decree 99/1996 as amended by Decree 151/2018. Except for mandatory consumer rules, any dispute will be submitted to the Courts and Tribunals of Madrid (Spain). If you are a consumer, you may claim in your residence in accordance with applicable regulations.

21. Miscellaneous
- Partial nullity: if any clause is null, the rest will remain in effect.
- No waiver: failure to exercise a right does not imply waiver.
- Assignment: you may not assign your rights without permission; Picuco may assign to group companies or successors.
22. Claims and complaints
If you wish to file a claim or complaint about a travel service booked through Picuco, you may contact us at admin@picuco.com or at the registered office indicated in section 1. Claims relating to package travel may be filed within a limitation period of two years, pursuant to article 169 TRLGDCU. We will acknowledge receipt as soon as reasonably possible and reply within the deadlines set out in applicable consumer regulations.
Official complaint forms (hojas de reclamaciones) are available for consumers at the registered office and, on request, by email. Once completed, they may be submitted to the competent consumer and tourism authorities of the Community of Madrid.
If you are a consumer resident in the European Union, you may also use the Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr .
Service Terms (supplementary provisions)
These provisions supplement the Terms of Use above.
A. Consent and updates
By using the Site, you accept these Terms. We may update them for legal, technical, or operational reasons. We will publish the update date. If you do not agree, you must cease use.
B. Duration; suspension and termination
We may suspend or interrupt the Services totally or partially for maintenance, security, or operational changes, attempting to minimize inconvenience. We may restrict access in case of non-compliance. You may stop using the Services at any time.
C. International use
Use of the Services must comply with applicable regulations in your country. Picuco operates in accordance with Spanish and EU regulations (LSSI, LGDCU, GDPR/LOPDGDD, DSA, when applicable).
D. Cancellations and refunds
Each activity has its own cancellation policy, which you will see and accept before paying. This may be the policy defined by the Provider or, if the Provider has not defined one, Picuco's default cancellation policy.
Cancellation by the Customer: The refund depends on the activity's cancellation policy and when you cancel. Check your booking's policy for the deadlines and percentages.
Cancellation by the Provider: If the Provider cancels the activity, you will receive a 100% refund of the price paid. We will also offer you the option of rescheduling to another date.
Weather conditions or force majeure: If the activity cannot be carried out safely, rescheduling at no cost will be attempted. If this is not possible, you will receive a 100% refund.
No-show: If you do not show up without having cancelled, the activity's cancellation policy will apply as if it were a last-minute cancellation.
Refund processing: Refunds are made to the same payment method. Estimated timeframe: between 5 and 10 business days from the refund confirmation.

Right of withdrawal (intermediated services): As a consumer, you have the right to withdraw from a distance contract within 14 calendar days without giving any reason (Article 102 TRLGDCU). However, this right does not apply to bookings for activities with a specific date of performance, pursuant to Article 103(l) of the TRLGDCU. By confirming your booking, you expressly accept that the activity has a specific execution date and that, therefore, you will not be able to exercise the right of withdrawal. In case of cancellation, the activity's cancellation policy applies.
Cancellation rules for package travel: When Picuco acts as organiser of a package travel, the specific rules of Book IV of Royal Legislative Decree 1/2007 additionally apply:
- The traveller may terminate the contract at any time before the start of the package in exchange for a reasonable and justifiable termination fee, calculated in light of the moment of termination and the savings and revenue from alternative use of the travel services (art. 160.1 TRLGDCU).
- If unavoidable and extraordinary circumstances arise at the place of destination or its immediate vicinity that significantly affect the performance of the package, the traveller may terminate the contract before the start of the package without paying any termination fee, with the right to a full refund (art. 160.2 TRLGDCU).
- Picuco, as organiser, may cancel the contract and reimburse the traveller in full if the minimum number of participants previously communicated is not reached, or due to unavoidable and extraordinary circumstances.
- Reimbursements shall be made without undue delay and, in any event, within 14 days of the termination of the contract.
E. Promotions and Pro subscriptions
The specific conditions of Picuco Pro Subscription and promotions will be defined in particular terms. We may modify or cancel them with reasonable prior notice when legally required.
